Sarah: Good morning, Mr. Miller. So, this is the contract of our textile machinery.
Marcus: Thank you.
Sarah: Please have a look at it.
Marcus: Yea, let me have a look at it. OK?
Sarah: En, would you like a cup of tea?
Marcus: En.
Sarah: Here you go.
Marcus: Thanks a lot. Don’t you think we should add a sentence here like if one side fails to observe the contract, the other side is entitled to cancel it, and the loss for this reason should be charged by the side breaking the contract?
Sarah: Yea, that’s OK,I think. I think all the terms should meet with unanimous agreement. Do you have any comment on the other clause?
Marcus: I think this clause is all right, but the time of payment should be prolonged, two or three months.
Sarah: Usually we are accustomed to payment with one month, but for the sake of the friendship between us, I’ll say this time we’ll fix it at two months.
Marcus: No wonder everyone speaks highly of your commercial integrity.
Sarah: Thank you for your compliment, you know, we always say that the higher permanent principle is that contracts are to be honored and commercial integrity is to be maintained.
Marcus: Yes, there’s one more thing I would like to point out. That is timely delivery. You know our
customers are in urgent need of the goods and if you fail to deliver the goods at the date we need them, that is
stipulated in the contract, they may turn elsewhere for substitution. In this way, we just can’t stand the loss.
Sarah: Well, you may rest assured that the shipment will be duly delivered, we must have your LC at least one month before the time of shipment then.
Marcus: Of course, when I get back, I’ll open an LC for the whole quantity as soon as possible.
Sarah: Good, good. But one more thing. The stipulations in the relevant credit should strictly conform to the terms stated in the contract in order to avoid subsequent amendment. So, if that does happen, then shipment will possibly be delayed.
Marcus: I see.
Sarah: Any other questions?
Marcus: Well, no, there is really nothing more. The contract contains basically all we have agreed upon during our negotiations. I hope no more questions about the terms. So Sarah, please have the contract amended.
Sarah: Enha.
Marcus: And we are to sign it tomorrow morning. Now, I’m glad our negotiation has come to a successful conclusion. I hope this will lead to further businesses between us.
Sarah: Yea, we hope so, too.
Marcus: OK, great. Thanks
